Tesla’s board of directors sent shareholders a letter on October 29, filed with the SEC as additional proxy material, asking them to vote “FOR ALL proposals” at the 2026 Annual Meeting on December 3 at 3:00 PM Central.
The main ask
The board says the most important items are the re-election of its three Class I directors: CEO Elon Musk, board chair Robyn Denholm and co-founder JB Straubel. “We have all the building blocks necessary to propel us into our next phase of transformational growth, but we must keep the leadership that has proven key to Tesla’s success,” the letter says. Tesla also updated its VoteTesla.com site with voting instructions.
According to TeslaNorth, the definitive proxy already recommended re-electing those directors, approving a non-binding say-on-pay vote on 2025 executive pay, and ratifying PricewaterhouseCoopers as auditor for 2026.
How the board makes its case
- It ties the vote to Master Plan IV projects: expanding Robotaxi, deploying Cybercab, and producing and deploying Optimus.
- It highlights the Terafab initiative in Texas, which it says will secure critical components as Tesla scales.
- It says FSD (Supervised) now has 1.74 million paid customers globally.
Context
The letter lands during a loud season for Tesla investors, including a retail shareholder push for a combination with SpaceX. The December 3 ballot itself does not include a merger vote.
